Terms of Service

1. Agreement to these Terms

By creating an account, starting a trial, or using NearPinn at nearpinn.com or app.nearpinn.com (the “Service”), you agree to these Terms and to our Privacy Policy. NearPinn is provided by WAWCD LLC, 91 Donegall Avenue, Belfast, Northern Ireland, BT12 6LS, United Kingdom (“NearPinn,” “we,” “us”). If you use the Service for a company or other organization, you agree on its behalf and confirm that you have authority to do so; “you” then means that organization. If you do not agree, do not use the Service.

2. The Service

NearPinn is a local SEO platform for Google Business Profile. Depending on your plan, it lets you manage and edit business listings, create and schedule posts, monitor and reply to reviews, configure AI agents and automations, run geo-grid rank scans and keyword tracking, analyze backlinks and website performance, view performance insights and a profile health score, and generate PDF reports.

We are continually improving NearPinn and may add, change, or remove features. If we remove a core paid feature, we will give you reasonable notice. Features that depend on third-party APIs may change when those providers change their services.

3. Eligibility and your account

• You must be at least 18 years old and use the Service for business purposes.
• Provide accurate account information and keep it up to date.
• Keep your sign-in details confidential. We strongly recommend enabling two-factor authentication. You are responsible for all activity under your account.
• Tell us immediately at [email protected] if you suspect unauthorized access.

4. Workspaces, team members and clients

Your data lives in a workspace. The workspace owner controls billing, membership, roles, and connected Google accounts, and is responsible for the workspace. Owners and admins can invite other people; everyone invited must accept these Terms. You are responsible for what your members do in your workspace and for removing access when someone should no longer have it.

Agencies may use NearPinn to manage their clients' profiles and share reports with them. You must have each client's permission to manage their profile and data, and you are responsible for your services and representations to your clients.

5. Connecting Google Business Profile

• Only connect Google accounts and manage Business Profiles that you own or are authorized to manage.
• Your use of Google services through NearPinn is also subject to Google's terms, including the Google Business Profile guidelines, the Google Maps / Google Earth Additional Terms of Service, and the Google Privacy Policy.
• Google controls its platforms. Google may reject or remove content, suspend a profile, change rankings, or change or limit its APIs at any time. NearPinn is not responsible for Google's decisions, and features for an affected profile may stop working.
• You can disconnect Google at any time. Some features will stop working until you reconnect.

6. Free trial

• New workspaces may be offered a 14-day free trial of a paid plan. Each workspace can use a trial only once.
• A valid payment method is required to start a trial. When the trial ends, your subscription starts automatically and your payment method is charged for the plan you chose, unless you cancel before the trial ends. We email workspace owners reminders before the trial ends.
• Credits included with a trial are for evaluation only. Unused trial credits are removed when the trial converts to a paid subscription.

7. Subscriptions and billing

• Paid plans (currently Starter, Pro, and Expert) are billed monthly in advance in the currency shown at checkout. Plan limits — such as the number of listings and the monthly credits included — are shown on our pricing page and in the dashboard. Enterprise plans are priced and agreed individually.
• Subscriptions renew automatically each month until cancelled. By subscribing you authorize us, through our payment processor Stripe, to charge your payment method for each renewal and for any credits you buy.
• Prices exclude taxes unless stated otherwise. You are responsible for any applicable taxes.
• If a payment fails, we will notify you and retry. While payment is outstanding your workspace may be limited to read-only access, and if the subscription ends your workspace moves to the free tier.
• Upgrades take effect immediately. Downgrades take effect at the next billing period and may require you to reduce usage, such as the number of listings, to fit the new plan's limits.
• We may change prices with at least 30 days' notice. Changes apply from your next billing period after the notice period; if you do not agree, you can cancel before then.
• Affiliate or promotional discounts apply only as described when offered and cannot be combined unless stated.

8. Credits

• Some features use credits — for example, a rank-grid scan uses credits based on grid size, and a backlink analysis uses a fixed number of credits. The credit cost is shown before you run the action.
• Paid plans include a monthly credit allowance, and you can buy additional credit packs. Plan and purchased credits roll over from month to month while your workspace remains active (trial credits are the exception — see Section 6).
• If an action fails because of an error on our side, the credits it used are returned automatically.
• Credits have no cash value, cannot be transferred or sold, and are non-refundable except where the law requires otherwise.

9. AI features and automations

NearPinn can use AI to write posts, create images, draft review replies, and answer questions, and lets you set up AI agents and automations that act for you.

• Automations publish without manual review. If you turn on automatic review replies or scheduled posts, NearPinn will generate content and publish it to your Google Business Profile on your behalf, according to the rules you set, without asking you to approve each item. You can pause or turn off automations at any time.
• You are responsible for published content. Content published through NearPinn — whether written by you, drafted by AI, or published by an automation — is published under your business name and is your responsibility.
• AI can make mistakes. AI output may be inaccurate, incomplete, or unsuitable, and similar output may be produced for other users. Review important or sensitive replies (for example, about complaints, health, or legal matters) before publishing, and configure your agents' tone and instructions carefully.
• Do not use AI features to create misleading, defamatory, discriminatory, or unlawful content, or content that breaks Google's policies.

10. Acceptable use

You agree not to, and not to let anyone else:

• manage Business Profiles or use data you are not authorized to;
• create, solicit, or incentivize fake reviews, impersonate customers or reviewers, or gate reviews in ways Google prohibits;
• break Google's guidelines, for example by keyword-stuffing business names, creating fake or virtual-office locations, or choosing misleading categories;
• post spam or content that is false, misleading, defamatory, obscene, hateful, harassing, or that infringes anyone's rights;
• scrape, copy, resell, sublicense, or redistribute the Service or its data except as these Terms allow (for example, sharing reports with your own clients);
• reverse-engineer the Service, bypass usage limits or credit charges, or access it with unauthorized automated means;
• upload malware, probe or test the Service's security without our written permission, or disrupt its operation; or
• use the Service in breach of any law, including privacy and consumer laws.

11. Your content and data

• Your content is yours. You keep all rights to the listings, posts, images, replies, settings, reports, and other content you create or upload (“Your Content”), including AI output generated for you, to the extent the law allows.
• You grant NearPinn a limited licence to host, copy, process, transmit, and display Your Content only to provide, secure, and support the Service — including publishing it to Google when you or your automations instruct us to.
• You confirm you have the rights needed to upload Your Content and to let us process it.
• We handle personal information as described in our Privacy Policy.

12. Our intellectual property

NearPinn and its licensors own the Service, including the software, design, dashboards, reports templates, rank-grid methodology, and the NearPinn name and logo. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us feedback or suggestions, we may use them without any obligation to you.

13. Third-party services

The Service relies on and links to third-party services, including Google, Stripe, AI model providers, and SEO data providers. We are not responsible for third-party services, their availability, or their data accuracy, and your use of them may be subject to their own terms. Ranking, backlink, and performance data come from third-party sources and are estimates that may differ from what you see elsewhere.

14. Affiliate program

If you join the NearPinn affiliate program, you may share your referral code to give new customers a discount and earn the commission we agree with you. You may not use spam, misleading claims, paid ads that bid on the NearPinn brand, or self-referrals. We may withhold commissions earned through fraud or in breach of these Terms, and may change or end the program with notice.

15. Cancellation, suspension and termination

• Cancelling: the workspace owner can cancel the subscription at any time from the billing settings. Cancellation stops the next renewal; you keep access until the end of the period you have paid for.
• Refunds: fees already paid are non-refundable, and we do not give refunds or credits for partial months, unused listings, or unused credits, except where required by law or stated otherwise in writing.
• Suspension: we may suspend or limit access, with notice where reasonable, if you breach these Terms, do not pay, or your use creates a security, legal, or Google-policy risk for NearPinn, other users, or connected Google accounts.
• Termination: either of us may end these Terms for a material breach that is not fixed within 15 days of notice. We may end free accounts at any time.
• Your data after termination: you can ask us to delete your workspace at any time. After an account or workspace closes, we delete its data as described in our Privacy Policy. Ask us before then if you need a copy.

Sections that by their nature should survive termination — including fees owed, ownership, disclaimers, limitation of liability, and indemnity — will survive.

16. Disclaimers

To the extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We work hard to keep NearPinn reliable and accurate, but we do not promise that it will be uninterrupted or error-free, that ranking or third-party data will be accurate, that Google will accept or keep any content, or that you will achieve any particular ranking, traffic, review, or business result. Nothing in NearPinn is legal, financial, or professional advice.

17. Limitation of liability

To the extent permitted by law, NearPinn will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, or for profile suspensions or ranking changes, even if we were advised they were possible.

Our total liability for all claims relating to the Service or these Terms is limited to the amount you paid NearPinn in the 12 months before the event that gave rise to the claim.

Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.

18. Indemnity

You will defend and indemnify NearPinn against third-party claims, and related losses and reasonable costs, arising from Your Content (including content published by your automations), your use of the Service in breach of these Terms or the law, or your management of a Business Profile or client account without proper authorization.

19. Governing law and disputes

These Terms are governed by the laws of Northern Ireland, United Kingdom, without regard to conflict-of-law rules. Before starting a formal dispute, please contact us at [email protected] so we can try to resolve it informally within 30 days. If we cannot, the courts of Northern Ireland will have exclusive jurisdiction, except where consumer-protection law gives you the right to bring a claim where you live.

20. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date above and, for material changes, notify workspace owners by email or in the dashboard at least 30 days before they take effect. If you keep using the Service after the changes take effect, you accept the updated Terms. If you do not agree, you can cancel before then.

21. General

• These Terms, the Privacy Policy, and any order or enterprise agreement are the entire agreement between us about the Service. A signed enterprise agreement prevails if it conflicts with these Terms.
• If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
• You may not transfer these Terms without our consent. We may transfer them in a merger, acquisition, or sale of assets.
• Neither of us is liable for delays caused by events beyond reasonable control, such as outages of Google or other third-party services.
• We may send notices to the email address on your account or in the dashboard.
